Luxembourg Real estate transactions for individuals

Dear friends,

I will be publishing a short series of posts on real estate law in Luxembourg, focusing in particular on the protection of purchasers of apartments in co-ownership (condominiums).

It has to be said that buyers regularly find themselves in a particularly vulnerable position when dealing with sellers acting in bad faith.

Unfortunately, in Luxembourg, certain individuals presented as real estate “professionals”, including estate agents and even some notaries, appear to consider that they bear no real responsibility when it comes to informing prospective buyers.

Listening to them, one would think that a buyer should behave like an institutional real estate investment fund with EUR 1 billion in assets under management, commissioning several thousand euros' worth of technical due diligence from engineers or architects simply to obtain basic information about the building they are considering purchasing.

Yet there is an obvious and essential point of contact: the property estate management company (syndic), which, alongside the seller, is the primary holder of documents relating to the management of the building and the affairs of the co-ownership.

It would surely be regrettable if real estate professionals did not even take the trouble to request some information from the syndic before allowing a buyer to commit to a transaction worth several hundred thousand euros or more.

In the absence, in Luxembourg, of a legal framework as explicit as that provided for under Article 3.94 of the Belgian Civil Code or the French ALUR Law, I believe it is necessary to set the record straight.

To that end, I am sharing a standard clause, free of charge, which you may incorporate into your preliminary sale agreements (compromis de vente), with a view to requiring the parties involved to take a more proactive approach in protecting purchasers.

Ultimately, this is a matter of legal certainty.

Please let me know what you think and feel free to share this post with your contacts.

Many thanks,

Seller's Representations, Warranties and Undertakings Regarding the Property and the Co-ownership

1.1 Definitions.

“Defect” means any leak, water ingress, water damage, corrosion, defect or deterioration affecting pipes, risers or utility networks, whether relating to the unit, the common parts or the building as a whole.

“Investigation” means any leak detection exercise, expert assessment, study, inspection, diagnostic assessment, survey, report or request for access to individual units, regardless of who initiated it, when it took place or what its outcome was.

“Works” means any works recommended, examined, proposed, discussed, costed, included on an agenda, approved by resolution or scheduled, including through correspondence, irrespective of their amount.

“Document” means any letter, email, notice of meeting, report, minutes or record of proceedings, including documents issued by the co-owners' committee.

1.2 Materiality.

The representations set out in this Article constitute a material condition of the Purchaser's consent to the transaction, and the Purchaser would not have entered into the transaction, or would have done so at a lower price, had such representations not been given. The Seller expressly acknowledges this.

1.3 Warranty of Accuracy.

The Seller represents and warrants, both as at the date of execution of the preliminary sale agreement (compromis de vente) and as at the date of execution of the notarial deed of sale, that there are no Defects, Investigations or Works, whether or not known to the Seller, other than those expressly listed in an annex together with the corresponding Documents.

This warranty is objective in nature and applies irrespective of the Seller's good faith.

1.4 Duty to Make Enquiries.

The Seller undertakes to make written enquiries of the property management company (syndic) and to provide the Purchaser with the response received.

Failure to make such enquiries shall constitute a breach of duty.

1.5 Delivery of Documents.

No later than ten days prior to execution of the notarial deed of sale, the Seller shall provide:

(a) Copies of all Documents received during the preceding three years relating to the unit, the common parts, any Works or Investigations;

(b) A certificate issued by the syndic, dated no more than thirty days prior to its delivery, confirming the absence of any undisclosed Defects, Investigations or Works, specifying the budget and status of any proposed works and the balance of the works fund attributable to the unit;

(c) The latest minutes of the general meeting of co-owners and all technical reports held by the syndic.

1.6 Authorisation to Disclose Information.

The Seller authorises the syndic and the notary to disclose to the Purchaser any Document and any information relating to the unit and the building, and undertakes to confirm such authorisation in writing to the syndic within three days of execution of the preliminary sale agreement.

1.7 Condition Precedent and Right to Withdraw.

Completion of the sale shall be conditional upon delivery of the documents referred to in Article 1.5.

Failing such delivery, or where the contents of those documents reveal any undisclosed Defect, Investigation or Works, the Purchaser shall be entitled either to withdraw from the acquisition without penalty, with the immediate reimbursement of any amounts paid, or to proceed with the acquisition subject to a reduction in the purchase price in accordance with Article 1.9.

1.8 Updating of Information.

The Seller shall notify the Purchaser in writing, without delay, of any new circumstances arising between execution of the preliminary sale agreement and execution of the notarial deed of sale.

The Seller shall reiterate the representations set out herein in the notarial deed of sale.

1.9 Cumulative Remedies.

In the event that any of the representations set out in Article 1.3 proves to be inaccurate, even in part, or in the event of any breach of Articles 1.4 to 1.8, the Purchaser shall be entitled, cumulatively, to:

(a) Obtain a reduction in the purchase price corresponding to the Purchaser's proportionate share of the cost of the Works, together with any related expenses (including expert fees, professional fees, syndic fees and loss of use);

(b) Obtain full compensation for all losses suffered, including the value of the works fund attributable to the unit and legal costs;

(c) Require payment of a contractual penalty equal to 25% of the Purchaser's proportionate share of the cost of the Works;

(d) Withdraw from the acquisition where the inaccuracy is discovered prior to execution of the notarial deed of sale.

These remedies shall apply without prejudice to any action for annulment on grounds of fraud (dol), mistake or failure to disclose material information (réticence).

1.10 Escrow and Security.

An amount equal to 15% of the purchase price, representing at least the estimated proportionate share of the cost of the Works, shall be deposited with the notary in escrow for a period of seven months.

Alternatively, the Seller shall provide the Purchaser with an on-demand bank guarantee.

The notary shall release the funds upon expiry of the aforementioned period, unless the Purchaser has submitted a written claim.

1.11 Interest and Costs.

Any amount payable pursuant to this Article shall bear interest at the statutory rate increased by five percentage points, accruing from the date of formal notice of default.

All recovery costs and legal fees shall be borne by the Seller.

1.12 Exclusion of Warranty Disclaimers.

No exclusion-of-warranty clause or clause relating to the condition of the property may be invoked against the Purchaser in respect of the representations made herein.

The Purchaser's rights in the event of fraud (dol) are expressly reserved.

Chers amis
